1. Introduction and Acceptance

These Terms and Conditions (“Terms”) govern your access to and use of the website https://redolencedecor.com/ (the “Website”) and any enquiry, booking, or engagement of services offered by Redolence Decor (“Redolence Decor”, “we”, “us”, or “our”).

By accessing the Website, submitting an enquiry, accepting a quotation, paying a booking amount, or engaging our services, you (“you”, “your”, “Client”) confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy.

If you do not agree with these Terms, please do not use the Website or engage our services.

These Terms constitute an electronic record under the Information Technology Act, 2000 and do not require any physical or digital signature.

2. Definitions

  • “Services” means wedding and event planning, destination and venue selection, décor styling and floral design, full planning services, final-phase (day-of) planning and coordination, catering coordination, photography and films, and any other services we agree to provide.
  • “Event” means the wedding, ceremony, function, celebration, or occasion for which the Services are engaged.
  • “Proposal” means the written quotation, design deck, costing sheet, or scope document issued by us and accepted by you.
  • “Booking Amount” means the non-refundable advance payable to confirm a date and scope.
  • “Vendor” means any third-party supplier, venue, hotel, artist, or contractor engaged in connection with the Event.
  • “Agreement” means these Terms read together with the accepted Proposal and any signed service contract.

3. Eligibility

You must be at least 18 years of age and legally competent to contract under the Indian Contract Act, 1872 to book our Services. If you are booking on behalf of a company, family, or organisation, you represent that you are authorised to bind that entity.

4. Our Services

Redolence Decor offers, among others:

  • Destination Choices — venue research, shortlisting, site visits, and coordination.
  • Decor Styling — theme development, floral design, mandap and stage décor, entryways, centrepieces, table styling, lighting design, and installation.
  • Full Planning Services — end-to-end planning from concept to execution.
  • Final Phase Planning — last-mile vendor coordination, timeline management, and on-day execution.
  • Catering — menu curation and catering coordination or provision.
  • Photography & Films — photography and cinematography coordination or provision.

Service descriptions on the Website are indicative. The precise scope, deliverables, inclusions, exclusions, and timelines applicable to you will be those set out in your accepted Proposal, which prevails over general Website content.

5. Enquiries, Quotations, and Bookings

5.1 Enquiries. Submitting an enquiry through the Website, email, phone, or WhatsApp does not create a contract or reserve a date.

5.2 Quotations. Proposals and quotations are valid for [15 / 30] days from the date of issue unless stated otherwise, and are based on the information you provide (date, venue, guest count, scope, and location). Prices are subject to revision if any of these change, or if Vendor rates, material costs, or statutory levies change before confirmation.

5.3 Confirmation. A booking is confirmed only when (a) you accept the Proposal in writing (email or signed document), and (b) the Booking Amount is received and realised by us. Dates are allocated on a first-confirmed basis and are not held on a provisional basis without written agreement.

5.4 Peak dates. During peak wedding season, availability of dates, venues, and Vendors changes rapidly. We cannot guarantee availability of any element until it is formally confirmed and paid for.

6. Fees, Payments, and Taxes

6.1 Payment schedule. Unless otherwise agreed in your Proposal, payments are due as follows:

6.2 Taxes. All amounts are exclusive of GST and other applicable statutory taxes, cesses, and levies, which will be charged additionally at prevailing rates. 

6.3 Additional costs. Costs such as venue charges, permits and licences, government or municipal fees, society or RWA charges, generator and power backup, travel, accommodation, and per-diem for our team at outstation or destination events, overtime charges, and any last-minute additions are billed additionally unless expressly included in the Proposal.

6.4 Mode of payment. Payments are to be made by bank transfer, UPI, cheque, or such other mode as we specify in the invoice. We do not accept liability for payments made to any account other than the account stated on our official invoice. Please verify bank details with us by phone before transferring funds.

6.5 Late payment. We reserve the right to suspend work, withhold delivery, or cancel the booking if any payment is delayed beyond its due date. Interest of 10% per month may be levied on overdue amounts. Full payment of all dues is a precondition to setup and execution on the Event day.

6.6 No set-off. You may not withhold or set off any payment on account of a disputed item without our prior written agreement.

7. Changes to Scope

7.1 Any change to the design, scope, guest count, venue, date, or deliverables must be requested in writing and is subject to our confirmation, Vendor availability, and revised costing.

7.2 Changes requested within 3 days of the Event may not be possible, and where possible may attract rush charges.

7.3 An increase in guest count may increase catering, seating, and décor costs. A decrease within 3 days of the Event may not result in a corresponding reduction, as Vendor commitments will already have been made.

8. Cancellation, Postponement, and Refunds

8.1 Booking Amount. The Booking Amount is non-refundable in all circumstances, as it secures your date and covers planning, design, and Vendor commitments made on your behalf.

8.2 Cancellation by you. If you cancel after confirmation, the following applies to amounts paid (over and above the Booking Amount):

8.3 Third-party commitments. Amounts already paid to or committed with Vendors, venues, and suppliers on your behalf are non-refundable and are governed by the cancellation policy of the relevant Vendor. Any refund we recover from a Vendor will be passed on to you, net of our service charges.

8.4 Postponement. Requests to postpone are subject to our availability and Vendor availability on the new date. We will make reasonable efforts to transfer your booking to a new date within 2 months, subject to (a) revised pricing, (b) Vendor rescheduling charges, and (c) forfeiture of any amounts not recoverable from Vendors. Postponement is not a right and is not equivalent to cancellation with refund.

8.5 Cancellation by us. We may cancel or terminate an engagement if you breach these Terms, fail to make payments, provide false information, or engage in abusive, unlawful, or unsafe conduct. In such cases, no refund is payable and you remain liable for costs already incurred.

8.6 Refund processing. Approved refunds will be processed to the original mode of payment within 30 business days of approval, net of applicable bank charges and taxes.

9. Client Responsibilities

You agree to:

  • provide accurate, complete, and timely information regarding the Event, guests, timelines, and requirements;
  • obtain and maintain all necessary permissions, licences, and approvals from the venue, local authorities, police, fire, RWA/society, and any statutory body, including for music, fireworks, open flames, liquor service, and late-night operations, unless expressly agreed in writing that we will do so;
  • ensure that the venue provides adequate and timely access for setup and dismantling, along with power supply, water, loading and parking access, and lift or crane access where needed;
  • appoint a single point of contact authorised to make decisions on the Event day;
  • make all payments on time;
  • ensure appropriate conduct of your guests, family members, and independently engaged vendors; and
  • inform us in writing of any dietary restrictions, allergies, medical sensitivities, or religious or cultural requirements well in advance.

We are not responsible for delays, reduced scope, or non-performance caused by late or inaccurate information, denied or delayed venue access, missing permissions, or power failures at the venue.

10. Third-Party Vendors

10.1 Certain elements of the Services may be delivered by independent Vendors. Where we recommend or coordinate a Vendor, we act as a facilitator and coordinator.

10.2 Where you contract directly with a Vendor, your contract is with that Vendor. We are not liable for their acts, omissions, delays, quality of work, or cancellation.

10.3 We exercise reasonable care in selecting Vendors but do not warrant their performance. In the event of Vendor default, we will make reasonable efforts to arrange a suitable substitute, but such substitution may involve additional cost.

11. Design, Materials, and Substitution

11.1 Décor is a handcrafted and natural-material discipline. Flowers, foliage, fabrics, props, and finishes are subject to seasonal availability, market supply, and natural variation in colour, size, and form. We reserve the right to substitute elements with items of equivalent or better quality and comparable visual effect, without prior notice where time does not permit.

11.2 Renderings, mood boards, 3D visuals, reference images, and gallery photographs are illustrative and indicative of style and intent. They are not a precise representation of the final setup. Variations arising from venue dimensions, ceiling height, lighting conditions, weather, and material availability are to be expected and do not constitute a deficiency in service.

11.3 Colours displayed on the Website or in digital previews may differ from actual materials due to screen calibration, photography, and lighting.

11.4 Outdoor setups are subject to weather. Wind, rain, extreme heat, or humidity may require design modification or relocation on safety grounds. We reserve the right to modify or withdraw any element that we reasonably consider unsafe.

 

12. Rented Items, Damage, and Safety

12.1 Props, structures, furniture, linen, lighting, crockery, and equipment supplied by us or by Vendors remain the property of the owner and are provided on a rental basis for the Event only.

12.2 You are responsible for loss of or damage to such items caused by you, your guests, or your independently engaged vendors, and will be invoiced at replacement or repair cost.

12.3 Décor structures, installations, candles, and lighting must not be moved, altered, or interfered with by guests. We are not liable for injury, damage, or loss arising from such interference.

12.4 We reserve the right to refuse or halt work at any site we reasonably consider unsafe for our team.

 

13. Media, Photography, and Portfolio Rights

13.1 We may photograph or film our décor, setups, floral installations, and event environments for our portfolio, gallery, website, social media, proposals, and advertising.

13.2 Where such material identifies you, your family, or your guests, we will obtain your consent before publication. You may request removal of specific material at any time by writing to connect@redolencedecor.com; we will comply for material within our control.

13.3 You grant us a non-exclusive, royalty-free licence to use images and videos of the Event décor for the purposes above. This does not extend to content owned by an independent photographer you have engaged, unless they consent.

13.4 Any testimonial, review, or feedback you provide may be published by us in whole or in part, with attribution by first name or initials, unless you request otherwise.

 

14. Intellectual Property

14.1 Website content. All content on the Website — including text, graphics, logos, the “Redolence” and “Redolence Decor” names and marks, photographs, videos, layout, and design — is owned by or licensed to us and is protected by Indian and international intellectual property laws.

14.2 Restrictions. You may not copy, reproduce, republish, download, transmit, scrape, or exploit any part of the Website for commercial purposes without our prior written permission. Limited personal, non-commercial viewing is permitted.

14.3 Design work. Concepts, mood boards, layouts, renders, floor plans, costings, and design documents we prepare remain our intellectual property. They are shared with you for the purpose of evaluating and executing your Event only, and may not be shared with, or executed by, any third party or competing vendor without our written consent. Sharing our designs for the purpose of obtaining competing quotations is a breach of these Terms.

15. Acceptable Use of the Website

You agree not to:

  • use the Website for any unlawful, fraudulent, or harmful purpose;
  • submit false, misleading, or impersonating information through any form;
  • attempt to gain unauthorised access to the Website, its servers, or any connected system;
  • introduce viruses, malware, or any harmful code;
  • use automated tools, bots, or scrapers to extract data from the Website;
  • interfere with the Website’s functioning or with other users’ access; or
  • post or transmit content that is defamatory, obscene, harassing, infringing, or otherwise objectionable.

We may suspend or terminate your access to the Website for any breach of this clause.

16. Disclaimers

16.1 The Website and its content are provided on an “as is” and “as available” basis. We do not warrant that the Website will be uninterrupted, error-free, or free of viruses.

16.2 Information on the Website, including service descriptions, indicative pricing, statistics, testimonials, and gallery images, is for general information only and does not constitute a binding offer.

16.3 We do not guarantee any particular outcome, level of guest satisfaction, or subjective aesthetic result beyond delivery of the agreed scope in a professional manner.

16.4 We are not responsible for the acts, omissions, or content of third parties, including venues, Vendors, payment gateways, social media platforms, and linked websites.

17. Force Majeure

We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, extreme or adverse weather, fire, flood, earthquake, epidemic or pandemic, government orders, lockdowns, curfews, prohibitory orders, riots, terrorism, war, civil unrest, strikes, transport disruption, power or internet failure, venue closure or withdrawal, and death or serious illness within our core team.

In such circumstances we will make reasonable efforts to reschedule, substitute, or partially perform. Amounts already spent or committed on your behalf are not refundable. Any credit, adjustment, or rescheduling will be discussed in good faith.

18. Limitation of Liability

18.1 To the maximum extent permitted by applicable law, our total aggregate liability arising out of or in connection with the Services or these Terms shall not exceed the total amount actually paid by you to Redolence Decor for the Event in question, less amounts already disbursed to Vendors on your behalf.

18.2 We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of enjoyment, emotional distress, loss of profit, loss of opportunity, or reputational loss.

18.3 We are not liable for personal injury, illness, food-related reactions, loss, or theft of personal belongings at the Event venue, except to the extent directly caused by our proven negligence.

18.4 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under Indian law.

19. Indemnity

You agree to indemnify, defend, and hold harmless Redolence Decor, its owners, directors, employees, and contractors from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) inaccurate or incomplete information provided by you; (c) the conduct of you, your family, or your guests at the Event; (d) missing permissions or licences that were your responsibility; or (e) your violation of any law or third-party right.

20. Confidentiality

Both parties agree to keep confidential any commercially sensitive information disclosed in the course of the engagement, including pricing, Vendor rates, guest lists, and personal family details, except where disclosure is required by law or is necessary for Event execution.

21. Privacy

Your use of the Website and Services is also governed by our Privacy Policy, available at https://redolencedecor.com/privacy-policy/, which explains how we collect, use, share, and protect your personal data. By using the Website or Services, you consent to those practices.

22. Third-Party Links

The Website contains links to third-party websites and platforms. These are provided for convenience only. We do not endorse and are not responsible for their content, accuracy, security, or practices. Accessing them is at your own risk.

23. Term and Termination

These Terms remain in effect while you use the Website or until the engagement is completed or terminated. We may suspend or terminate your access to the Website, or an engagement, at any time for breach of these Terms, non-payment, or unlawful conduct. Clauses relating to intellectual property, payment obligations, confidentiality, limitation of liability, indemnity, and governing law survive termination.

24. Governing Law and Dispute Resolution

24.1 These Terms are governed by and construed in accordance with the laws of India.

24.2 The parties will first attempt to resolve any dispute amicably through discussion within 30 days of written notice.

24.3 If unresolved, the dispute shall be referred to arbitration by a sole arbitrator appointed by mutual consent under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be New Delhi, and the proceedings shall be conducted in English. The arbitral award shall be final and binding. [Delete this clause if you prefer courts only.]

24.4 Subject to the above, the courts at New Delhi, India shall have exclusive jurisdiction.

24.5 Nothing in this clause limits any right you may have as a consumer under the Consumer Protection Act, 2019.

25. General Provisions

25.1 Entire agreement. These Terms, together with the accepted Proposal and Privacy Policy, constitute the entire agreement between the parties and supersede all prior discussions, quotations, and representations.

25.2 Precedence. In case of conflict, the signed service agreement or accepted Proposal prevails over these Terms in respect of scope, pricing, and payment.

25.3 Severability. If any provision is held invalid or unenforceable, the remaining provisions continue in full force.

25.4 Waiver. Failure to enforce any provision does not constitute a waiver of that or any other provision.

25.5 Assignment. You may not assign your rights or obligations without our written consent. We may assign or subcontract our obligations, remaining responsible for the delivery of the agreed scope.

25.6 Notices. All formal notices must be sent in writing to connect@redolencedecor.com and/or to our registered address.

25.7 Language. These Terms are drafted in English, which shall be the governing language.

26. Changes to These Terms

We may revise these Terms at any time. The updated version will be posted on this page with a revised “Last Updated” date and takes effect from the date of posting. Terms applicable to a confirmed booking are those in force at the date of confirmation, unless changes are agreed in writing. Please review this page periodically.
